Follow the ownership and financing plan

An entity decision connects tax treatment, governance, equity compensation, and investor expectations. An LLC may offer flexibility for some businesses, while a corporation may fit a company planning institutional equity financing. Neither label answers every question.

Think beyond incorporation

Consider where the company operates, who will own it, how people will be compensated, and what ongoing administration it can support. Forming in Delaware does not remove obligations in other states where the company does business.

Bring the right questions

Prepare a founder list, operating locations, a financing plan, and expected hiring needs. Review the legal and tax tradeoffs together before filing. A later conversion can require additional work and may have tax consequences.
